1. Acceptance of the Terms

These Terms of Service ("Terms") govern your access to and use of the Lockey Store websites at https://www.lockeystore.com/, and any sub-domains thereof (the "website"). The website is operated by Lockey Store (referred to as "Lockey Store", "we", "our" or "us").

Lockey Store shall not be obligated to provide you with technical support, maintenance, functional improvements, or other technical services related to the website, provided that Lockey Store may, at its sole discretion, provide you with an updated or upgraded version of the website, in which case, these Terms shall apply to the updated website.

Lockey Store does not guarantee any damage or loss of contents on the website or information saved on or associated with your user account, and Lockey Store shall not be liable for any damage or loss of such information.

5. Product Information; Availability

We sell tools, industrial supplies, and related goods. Product details, pricing, and availability are subject to change without notice. We endeavor to be accurate, but errors may occur. We reserve the right to correct any errors, inaccuracies, or omissions (including after an order has been submitted) and to change or update information or cancel orders if any information is inaccurate at any time without prior notice.

6. Pricing; Taxes; Promotions

Prices are shown in U.S. Dollars unless otherwise stated. You are responsible for any applicable sales, use, excise, VAT, GST, customs, duties, or other taxes and fees. Promotional codes, coupons, and other offers are subject to separate terms and may be modified or discontinued at any time.

7. Orders; Acceptance; Cancellations

Your order is an offer to buy. We may accept, reject, or limit any order for any reason, including errors, suspected fraud, supply constraints, or compliance concerns. Risk of loss and title for items pass to you upon our delivery to the carrier (FOB shipping point) unless otherwise stated in the order confirmation. We may cancel an order (and refund you) if items are unavailable, mispriced, or for fraud prevention.

8. Shipping; Delivery; Delays

Shipping options and delivery estimates are provided at checkout. Actual delivery times may vary due to carrier delays, weather, or other factors outside our control. We are not liable for delays once an order has been handed to the carrier. Inspect packages upon receipt and notify us of any issues within the timeframes specified in our return policy.

9. Returns; Exchanges; Restocking

Returns and exchanges are governed by our published Returns & Exchange Policy (posted on a separate page). Restocking fees, return windows, and condition requirements apply. Certain items may be final sale or nonreturnable (e.g., used items, custom or special orders). Shipping charges are generally non-refundable unless the return results from our error.

10. Prohibited Activities

You may not access or use the website for any purpose other than those purposes for which we make the website available. Without limiting the foregoing, as a user of the website, you agree to not engage in the following activities:

  • Share or transfer your log-in information to access the website.
  • Use someone else's log-in information to access the website.

We are a reseller and do not manufacture products. Manufacturer warranties (if any) apply as specified by the manufacturer. EXCEPT AS EXPRESSLY PROVIDED, THE WEBSITE, PRODUCTS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. You are responsible for determining the suitability of products for your intended use, including compliance with applicable codes, standards, and safety requirements. Follow all manufacturer instructions, warnings, and safety data sheets (SDS) where applicable.

All content on the website, including text, graphics, logos, icons, images, audio/video clips, downloads, data compilations, software, and the compilation thereof, is owned by Lockey Store or our licensors and is protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not copy, reproduce, distribute, modify, create derivative works, publicly display, or exploit any portion of the website except as expressly permitted by us in writing.

14. User Content; Feedback

If you post reviews or other content or submit ideas or feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, publish, translate, create derivative works from, distribute, and display such content in any media, subject to applicable law and our Privacy Policy. You authorize us to charge the payment method associated with your account or that you otherwise provide to us for the price of the order. Payments may be processed by third-party payment processors and shall be subject to their terms of service. We may use fraud screening and risk assessment tools and reserve the right to decline or cancel any transaction. You authorize us and our processors to verify information you provide and to obtain fraud-prevention-related information from third parties.

17. DMCA & IP Complaints

We respect intellectual property rights. If you believe content on the website infringes your copyright, please send a notice to our designated agent:

Information sent over the internet can never be guaranteed to be 100% secure. Lockey Store shall have no responsibility or liability for the security of any information you provide via the website.

Lockey Store WILL NOT BE LIABLE FOR ATTORNEYS' FEES, EXCEPT AS REQUIRED BY LAW.

NOTWITHSTANDING ANY OTHER PROVISIONS OF THESE TERMS, IN NO EVENT WILL OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE AGREEMENT, THE WEBSITE, OR THE PRODUCTS FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION SHALL NOT EXCEED THE AMOUNT YOU PAID TO Lockey Store FOR THE PRODUCT(S) OR SERVICE(S) AT ISSUE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, THESE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED.

22. Indemnification

You agree to indemnify, defend, and hold harmless Lockey Store and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, obligations, costs or debt, and expenses (including but not limited to reasonable attorneys' fees) arising out of or in connection with: (i) your use and access of the website; (ii) any actual or alleged breach of your representations, warranties or obligations set forth in these Terms, (iii) your violation of any applicable law; or (iv) your violation of the rights of any third-party.

23. Governing Law; Venue

These Terms and any disputes arising under or related to these Terms are governed by the laws of the State of Ohio and applicable U.S. federal law, without regard to conflicts of law rules. Subject to and without waiver of the arbitration agreement below, the parties consent that any judicial proceedings will be brought in and you hereby consent to the exclusive jurisdiction and venue in the state and federal courts located in Franklin County, Ohio for any matters not subject to arbitration.

25. Termination

We reserve the right to suspend, withdraw, amend, or terminate access to the website, and any goods or services we provide via the website, in our sole discretion and at any time for any reason, including if we believe you have violated these Terms. Upon termination, Sections that by their nature should survive (e.g., IP ownership, disclaimers, limitations of liability, indemnity, dispute resolution) will survive.

26. Miscellaneous

Entire Agreement. These Terms and the incorporated policies constitute the entire agreement between you and us regarding the website and supersede prior understandings.
Severability. If any provision is held to be unenforceable or invalid, the remaining provisions continue in full force and effect.
Assignment. You may not assign this Agreement without our consent; we may assign without restriction.
No Waiver. Our failure to enforce any provision is not a waiver.
Force Majeure. We are not liable for failure or delay due to events beyond our reasonable control.
